The primary function of this position is to provide legal advice and support to Cook Medical's European operations. Areas of responsibility will include third party contracts, employment law, confidentiality and non-disclosure agreements, IP, corporate compliance and other general business areas. The Legal Counsel will also engage with the company's legal advisors throughout Europe, the Middle East and Africa. Reporting to: Legal Counsel EMEA. Find out more about Cook Medical here. Responsibilities: Work under guidance of, and in conjunction with, Legal Counsel EMEA but must have the capacity and expertise necessary to independently provide sound legal advice and support. Draft, review and negotiate commercial contracts and agreements including distribution agreements for Cook Medical distributors located throughout EMEA. Maintain accurate, complete and up to date contracts database and related schedules and physical files. Prepare and negotiate various other legal documentation including research agreements, non-disclosure agreements, etc. Responsible for developing and implementing a comprehensive database of European legal agreements, including review mechanisms. Provide legal support to the HR department on employment legislation, confidentiality & non-compete agreements and other day-to-day issues. Provide legal support to the Marketing, Sales, Finance, QA, RA and Operations departments including review of vendor contracts, supply agreements, trade-mark protection, advertising copy, clinical trial agreements, etc. Provide general advice and assistance on all aspects of intellectual property, including patents, trademarks and copyright - assist in obtaining expert advice. Advise on risk and corporate governance and compliance issues. Responsible for control of legal costs - manage, budget and report on costs and fees. Liaise with colleagues at the corporate legal department to ensure unity of purpose and direction. Represent Cook Medical's position and views at appropriate public affairs forums and meetings where required. Ensure compliance with data protection and privacy legislation. Responsible for compliance with the company's various HR policies including but not limited to Bullying & Harassment and Confidentiality. Liaise with external legal advisors as appropriate. Provide legal support in relation to any threatened or actual litigation in Europe. Ad hoc reporting/project work. Work independently under standard practices as much as is practical. Act as a designee for the Legal Counsel EMEA. Ensure that Cook's Code of Conduct is considered in all business matters carried out on Cook's behalf. Qualifications/Requirements: Formal legal qualification and qualified to practise law in Ireland, UK or USA, desired. 2 years post qualification experience. Experience as in house counsel an advantage but not a prerequisite. Excellent interpersonal skills. The ability to communicate and to explain complex legal issues in simple language. Proven ability to research and advise on legal issues and draft/negotiate legal documents. Written or spoken ability in at least one major European language (other than English) would be an advantage. Computer literate - good working knowledge of Microsoft ® Office is a prerequisite.
