Primarily responsible for legal relations with Cook Medical's global distributors. Primarily responsible for legal relations with Cook Medical's global distributors, you will manage a team of Contract Managers, ultimately responsible for negotiating and drafting a wide range of agreements. Part of a global team, this role will work closely with a broad range of Cook Medical functional units, including Ethics & Compliance, Legal, Finance, Regulatory, in addition to Vascular and MedSurg divisions. Responsibilities: Effectively manage a diverse portfolio of distributor contracts, allocating the necessary expertise and commitment to a team of Contracts Managers, located at different Cook Medical offices throughout the world. Responsible for supervising the workload and operational issues of the Contract Management team. This includes, but not limited to, setting team and individual objectives, carrying out performance appraisals, generating training plans and dealing with performance related issues. Promoting and maintaining a workplace culture, which is respectful and supportive of individual differences. Fostering accountability within the team to meet established timelines. Drafting, reviewing and negotiating commercial contracts (including service level agreements, distributor or other third party intermediary agreements, NDAs, letters of engagement. Advising and supporting on a variety of legal/regulatory issues where necessary. Ensuring that appropriate controls and systems are in place for document negotiation, execution and retention. Creating and enforcing guidelines for distributors in accordance with global Cook Medical policy. Supporting the execution of letters of authorization and letters of indemnification by liaising with colleagues in Regulatory for the execution of letters of authorization. Conducting bi-weekly / bi-monthly sessions with global Distribution Channel Management team depending on the demands to ensure any queries or outstanding items are promptly addressed. Updating Distribution Channel Management training assets to incorporate existing and new policies. Sharing and applying updates from Cook Medical global organization related to established third party intermediary guidelines, governance and regulatory frameworks. Articulate company vision and policy, and to seek out areas of risk and priority. Willingness & availability to travel on company business. Ensure that Cooks Code of Conduct is considered in all business matters carried out on Cook's behalf. Qualifications/Requirements: Qualified attorney / lawyer, minimum 7 years relevant experience in private practice or a multinational corporation desired. Experience negotiating and drafting complex commercial agreements primarily in English. Additional language skills are an advantage. Excellent understanding of regulatory environment and legal frameworks within the medical device industry, in addition to all applicable ethics and compliance standards. Excellent interpersonal skills with a track record of managing teams and associated workloads. An articulate, motivated & proactive individual with a track record of developing strong working relationships within an energetic environment. Strong verbal & written communication. Confidence and credibility in working with all levels of management and staff cross-culturally, senior personnel at client and peer companies, data privacy regulators and industry bodies.
