The Distribution Channel Management (DCM) Governance and Contracts Manager, EMEA is primarily responsible for contractual agreements with Cook Medical's distributors in EMEA (Europe, Middle East and Africa. The Distribution Channel Management (DCM) Governance and Contracts Manager, EMEA is primarily responsible for contractual agreements with Cook Medical's distributors in EMEA (Europe, Middle East and Africa). Working under the guidance of DCM Legal Counsel - Global Contracts, you will draft a wide range of contractual agreements, while monitoring and supporting your assigned distributors, ensuring they operate their respective businesses in full compliance with all applicable legal and regulatory requirements. This role will work closely with a broad range of Cook Medical functional units, including Ethics & Compliance, Legal, Finance, Regulatory, in addition to Vascular and MedSurg divisions. Reporting to: Legal Counsel - Global Contracts. Responsibilities: Manage a diverse portfolio of distributor agreements on behalf of Cook Medical. Monitor and ensure distributor data accuracy, contract performance and compliance. Monitor distributor ethics & compliance in accordance with Cook Medical policies and procedures, in additional to all applicable laws and regulations. Under the guidance of Legal Counsel - Global Contracts, draft and review commercial contracts (including service level agreements, distributor or other third party intermediary agreements, NDAs, letters of engagement. Update DCM training assets to incorporate existing and new policies. Maintain contractual records and documentation (such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents) for all projects. Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness. Ensure timely contract close-out, extension or renewal. Keep leadership properly informed on a timely basis concerning actual and potential legal issues facing the business. Keep the organization's vision and values at the forefront of decision-making and action. Build strategic partnerships to further departmental and organizational objectives. Willingness & availability to travel on company business. Ensure that Cooks Code of Conduct is considered in all business matters carried out on Cook's behalf. Qualification/Requirements: Relevant bachelor's degree or equivalent combination of education and work experience desired. EU law certification and practice experience preferred. A minimum of 5 years experience in Life Sciences industry or as a Contract Manager within the hospital provider marketplace or medical device industry. Wide exposure to regulatory and legal frameworks within the medical device industry preferred. Experience negotiating and drafting complex commercial agreements primarily in English. Additional language skills are an advantage. Excellent interpersonal skills with a track record of developing strong working relationships. The ability to manage workload and make decisions/give advice independently. The ability to demonstrate financial literacy.
